These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://www.analyticalwest.com/ (the “Site”) and your purchase of products from Analytical West, Inc. (“Analytical West,” “we,” “us,” or “our”).

By using the Site or placing an order, you agree to these Terms.

1. Business Sales

The Site and our products are intended primarily for business, institutional, industrial, laboratory, and commercial purchasers. We reserve the right to refuse service, cancel orders, or limit transactions at our discretion. Although customers may use personal payment methods, purchases made through the Site are intended primarily for business use.

2. Orders and Acceptance

Placing an order through the Site does not guarantee acceptance of that order. All orders are subject to review and acceptance by Analytical West.

We reserve the right to refuse or cancel any order for reasons including, but not limited to:

Product availability
Pricing or listing errors
Suspected fraud or unauthorized activity
Shipping, export, trade, or destination limitations
Payment history issues
Vendor, manufacturer, or carrier shipping limitations
Restrictions requiring delivery to a commercial receiving location
Orders involving freight forwarders or other shipment arrangements we cannot support
Errors in customer, payment, or order information

If an order is canceled after payment has been authorized or captured, we will refund the appropriate amount using the original payment method when possible.

3. Pricing

Prices are subject to change without notice. Product availability, specifications, descriptions, and pricing information may change, and despite our efforts, the Site may occasionally contain errors or omissions.

Analytical West reserves the right to correct any errors, inaccuracies, or omissions and to cancel or refuse any order placed based on incorrect information, including after an order has been submitted.

If you do not wish to proceed with an order after a pricing correction, you may contact us regarding cancellation before shipment, subject to order status and product availability.

In limited cases, Analytical West may offer customer-specific, negotiated, wholesale, tax-exempt, or other special pricing arrangements. Those arrangements apply only where expressly approved by Analytical West.

4. Payment

Payment must be received and approved before an order is processed unless otherwise expressly agreed by Analytical West in writing.

Online payments are processed by third-party payment providers, including Authorize.net and PayPal. Analytical West does not store full payment card numbers in our ecommerce systems.

We do not request payment card information by email. Online payments are processed through approved third-party payment providers.

Where approved by Analytical West, we may also accept other payment methods, including purchase orders, ACH, wire transfers, checks, point-of-sale card processing, and credit terms for approved customers. Any credit terms, including discount terms or payment deadlines, apply only where expressly approved by Analytical West.

5. Accounts

You may be permitted to create a customer account on the Site. You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account.

You agree to provide accurate, current, and complete information and to update it as needed. We reserve the right to suspend or terminate accounts that contain inaccurate information, are used improperly, or create security or operational concerns, including fraudulent or unauthorized account creation.

6. Shipping and Delivery

Shipping dates and delivery estimates are approximate unless expressly stated otherwise in writing. Analytical West is not liable for delays caused by carriers, manufacturers, supply chain disruptions, weather, force majeure events, or circumstances beyond our reasonable control.

Risk of loss and title pass according to the shipping terms applicable to the transaction or, if no specific shipping terms are stated, upon delivery to the carrier.

Customers are responsible for providing accurate shipping information and for inspecting shipments upon receipt.

Some products may ship separately from others. Standards and solutions will ship separately from other products. For other products, please contact us if you want to authorize partial shipments.

International customers are responsible for applicable duties, taxes, customs requirements, import requirements, and any other charges imposed by the destination country.

7. Returns and Warranty Assistance

Returns are subject to our applicable return policy. Return authorization may be required, and certain products may be subject to restocking charges, manufacturer restrictions, or return restrictions.

Special-order items may be non-returnable or subject to additional return restrictions. Customers will be informed when such restrictions apply.

Products not supplied as ordered or defective at the time of receipt may be eligible for credit or replacement in accordance with our return policy.

Used products, products returned outside the standard return period, and products subject to manufacturer warranty review may be handled under the applicable manufacturer warranty rather than as defective returns.

Our standard return window may vary depending on the circumstances, and returns requested more than 30 days after issuance of a return authorization may still be considered on a case-by-case basis.

Restocking charges for customer-order errors apply only in certain cases.

All products carry the manufacturer’s applicable warranty, if any. Analytical West may assist customers with warranty claims, but warranty remedies, including repair, replacement, or refund, remain subject to the manufacturer’s terms and determination.

8. Product Information and Suitability

Product descriptions, specifications, images, and other content on the Site are provided for general informational purposes. While we try to keep information accurate, we do not warrant that product descriptions or other Site content are complete, current, or error-free. Product specifications and availability may change without notice.

Customers are responsible for determining whether a product is appropriate for their intended application, use environment, compatibility requirements, and technical needs.

9. Permitted Use of the Site

You agree not to use the Site:

In violation of any applicable law or regulation
To interfere with the operation or security of the Site
To attempt unauthorized access to accounts, systems, or data
To submit false, misleading, or fraudulent information
To copy, reproduce, scrape, reuse, distribute, or exploit Site content, product data, images, or other materials for commercial purposes without permission

10. Intellectual Property

All content on the Site, including text, graphics, logos, images, layout, product data, and software-related elements, is owned by or licensed to Analytical West or its content suppliers and is protected by applicable intellectual property laws.

No portion of the Site may be copied, reproduced, distributed, republished, or used without prior written permission except as permitted by law.

11. Disclaimer of Warranties

The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, except to the extent such disclaimers are not permitted by law.

To the fullest extent permitted by law, Analytical West disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation of the Site.

12. Limitation of Liability

To the fullest extent permitted by law, Analytical West shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or related to the Site, products, or these Terms.

To the fullest extent permitted by law, Analytical West’s total liability for any claim arising out of or relating to the Site, any order, or any product shall not exceed the amount paid for the specific product giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Analytical West and its officers, employees, affiliates, and agents from and against claims, liabilities, damages, losses, and expenses arising out of your misuse of the Site, your violation of these Terms, or your violation of applicable law or the rights of a third party.
